NaveaCare Clinician Terms of Use
Version 2.0 · Effective September 10, 2026
Draft — not yet reviewed by counsel
This document sets out the terms NaveaCare intends to operate under, so the product can be built and tested against it. It is not final and should not be relied on as a binding agreement until it has been through legal review.
1. Agreement and Acceptance
These Terms of Use (the “Terms”) are between [LEGAL ENTITY] (“NaveaCare”, “we”, “us”) and you, the individual accessing the NaveaCare platform (“you”).
By ticking the acceptance box, or by accessing or using the platform, you accept these Terms. You must be at least 18 years old and legally able to accept them.
You accept these Terms ONCE, as an individual. If you later work with another organisation that uses the platform, these Terms continue to apply and you will not be asked to accept them again. Your acceptance is recorded against the version shown on this document; where we publish a new version, we will ask you to accept it before it applies to you.
2. These Terms Are Not Your Employment Agreement
NaveaCare is software that your Organisation uses to run its business. You have access because your Organisation invited you.
WE ARE NOT YOUR EMPLOYER OR YOUR CLIENT. NaveaCare does not employ or engage you, does not pay you, does not set your rates, does not schedule or assign your work, does not supervise your clinical practice, and is not a party to any agreement between you and your Organisation.
Nothing in these Terms creates an employment, agency, partnership or joint venture relationship between you and NaveaCare, or affects the agreement you have with your Organisation. Any question about your pay, your assignments, your classification or your engagement is between you and your Organisation.
“Organisation” means a home health staffing company or agency that holds a NaveaCare account and has invited you to it.
3. You Pay Nothing
The platform is provided to you at no charge. Your Organisation holds and pays for the subscription.
Because your access depends on your Organisation's account, it can be affected by that account — including if your Organisation's subscription lapses — through no act or fault of your own. Where access is restricted for non-payment, we will not withdraw your ability to record care you have already delivered.
4. Contracts You Sign Here Are With Your Organisation
THIS IS THE MOST IMPORTANT THING IN THESE TERMS. When you sign a document in NaveaCare — an independent contractor agreement, a confidentiality agreement, a tax form, or anything else your Organisation asks for — THAT DOCUMENT IS BETWEEN YOU AND YOUR ORGANISATION.
NaveaCare supplies the means of signing and stores the result. We are not a party to it. We did not draft it, we do not review it, we make no representation about it, and we cannot advise you on it. Read anything before you sign it, and take your own legal advice if you need it.
You consent to transact electronically. A signature you make in the platform is intended to be a valid and binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act, the Uniform Electronic Transactions Act as adopted in the applicable jurisdiction, and any other applicable electronic signature law. You may request a paper copy of anything you have signed from your Organisation.
A signature is stored as it existed at the moment of signing. Replacing your stored signature later does not alter anything you have already signed.
5. Your Account
Your account is personal to you. Do not share it, your password, or any authentication code with anyone — including colleagues, supervisors or staff at your Organisation.
You are responsible for activity carried out under your account. Notify us at [NOTICE EMAIL] and tell your Organisation promptly if you believe someone else has used it.
You may hold only one account. Where you work with more than one Organisation, that one account carries a separate record for each.
6. Working With More Than One Organisation
You sign in once, whichever Organisations you work with. Each holds its own separate record of you, and each can see only its own: your documents, contracts, assignments and work for one Organisation are not visible to another.
Some information belongs to you as a person rather than to any one engagement — your name, the address you sign in with, and your profile photograph. Changing those changes them everywhere. Where you change the address you sign in with, each Organisation you work with is notified, because it is the address they hold for you.
Leaving one Organisation does not affect your access to the others.
7. Information You Provide
To work through the platform you provide personal information, including your contact details, professional licences and certifications, and identifiers your Organisation is required by law to hold. Only the last four digits of any Social Security number are retained.
Your Organisation can see the information you file with it — that is the purpose of filing it — and may verify it with issuing authorities and background screening providers as your engagement with them permits.
You will provide accurate information and keep it current. Your Organisation relies on it to determine what work you may be offered, and an expired or missing credential may prevent you from being assigned.
Our handling of your personal information is described in our Privacy Policy.
8. Patient Information
Your work in the platform involves protected health information — referrals, treatment plans and visit records.
You will access and use that information ONLY as necessary to deliver the care you are assigned, only to the minimum extent necessary, and only in accordance with HIPAA, other applicable law, and your Organisation's policies and training.
You will not copy, transmit, disclose, photograph or remove patient information from the platform except as your Organisation expressly permits. You will not access any record you have no clinical or administrative reason to see.
You access this information as a member of your Organisation's workforce. Your Organisation is responsible for it as a Covered Entity; you are responsible for handling it in accordance with this section.
9. Records You Create Must Be True
You will not record care that did not occur, confirm a visit you did not make, backdate a record, or sign on behalf of another person.
Records you create are relied on for the patient's chart and for billing. A false record is a matter for your Organisation, for your licensing board, and potentially for law enforcement.
We may preserve and disclose records where required by law or lawful process, and will cooperate with your Organisation's investigation of any suspected falsification.
10. Acceptable Use
You will not: attempt to access any account, record or workspace you have not been given access to; interfere with, probe or disrupt the platform or its security; use automated means to extract data from it; introduce malicious code; or use the platform for any purpose other than the work you are engaged for.
You will not reverse engineer the platform, or use it to build or assist in building a competing product.
11. Your Organisation Controls Your Access
Your Organisation decides whether you hold an account with it, what you can see, and what work you are offered. It may archive your record, which ends your access to that Organisation's workspace.
We may suspend or end your access for breach of these Terms, for a security risk, or where required by law. Where we can do so safely and lawfully, we will tell you why.
You may stop using the platform at any time. Ending your use does not delete the records your Organisation holds about your engagement; those belong to your Organisation and are governed by its own retention obligations.
12. Our Intellectual Property
The platform and everything in it, other than the information you provide, is owned by us or our licensors. We grant you a limited, personal, non-transferable, revocable right to use it for your work with your Organisation, and nothing more.
13. Availability and Disclaimer
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.
We will use commercially reasonable efforts to keep the platform available. Keep your own copies of anything you would need if it were unavailable, including documents you have signed.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST WORK, LOST EARNINGS OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.
OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). You pay nothing for the platform, and this reflects that.
NOTHING IN THIS SECTION LIMITS ANY CLAIM YOU MAY HAVE AGAINST YOUR ORGANISATION, including for unpaid wages or fees, and nothing in these Terms waives any right you have under wage, hour, employment or worker-classification law. Nothing here limits liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence.
15. Changes to These Terms
We may amend these Terms. Where an amendment materially affects your rights or obligations, we will publish it as a new version and notify you before it takes effect, and you will be asked to accept it.
Each version is recorded separately. Accepting one version is not acceptance of a later one. If you do not accept a new version, your remedy is to stop using the platform.
16. General
NOTICES. Notices to you may be given through the platform or to the email address on your account. Notices to us must be sent to [LEGAL ENTITY], [NOTICE ADDRESS], with a copy to [NOTICE EMAIL].
GOVERNING LAW AND VENUE. These Terms are governed by the laws of [STATE], excluding its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [VENUE]. Nothing in this paragraph deprives you of the protection of any mandatory law of the place where you live or work.
ASSIGNMENT. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition or sale of substantially all of our assets.
SEVERABILITY AND WAIVER. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in force. A failure to enforce a provision is not a waiver of it.
SURVIVAL. The following survive: Contracts You Sign Here Are With Your Organisation; Patient Information; Records You Create Must Be True; Our Intellectual Property; Availability and Disclaimer; Limitation of Liability; and General.
ENTIRE AGREEMENT. These Terms are the entire agreement between you and NaveaCare concerning your use of the platform. They do not form part of, vary, or supersede any agreement between you and your Organisation.
